Terms of Service

Welcome to DukaSale. These Terms of Service ("Terms") govern your use of the DukaSale mobile application ("App") operated by DukaSale ("we", "us", or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using DukaSale, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using DukaSale on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Service

DukaSale is a free, offline-first point-of-sale application designed for small businesses in Kenya. The App provides features including but not limited to:

  • Sales recording and processing
  • Inventory and stock management
  • Customer credit (deni) tracking
  • M-Pesa payment integration
  • Business reporting and analytics
  • Staff management with PIN access
  • Multi-location business support
  • Expense tracking

3. User Accounts and Security

You are responsible for maintaining the confidentiality of your business data and any staff PINs created within the App. You agree to take all reasonable steps to prevent unauthorized access to the App on your device.

You are solely responsible for all activities that occur under your account or on your device in connection with the App.

4. Data Storage and Ownership

All business data you enter into DukaSale — including products, sales records, customer information, and financial data — is stored locally on your device. You own all of your data. We do not collect, access, or store your business data on our servers unless you explicitly use a backup or sync feature.

You are responsible for backing up your data. We are not liable for any data loss resulting from device failure, theft, damage, or any other cause.

5. M-Pesa Integration

DukaSale may integrate with Safaricom's M-Pesa service to facilitate mobile payments. By using this feature, you acknowledge that:

  • M-Pesa transactions are subject to Safaricom's terms and conditions.
  • We are not responsible for M-Pesa service availability, transaction failures, or disputes related to M-Pesa payments.
  • Standard M-Pesa transaction charges may apply as determined by Safaricom.
  • You are responsible for the accuracy of your M-Pesa configuration within the App.

6. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose or in violation of any applicable laws in Kenya.
  • Reverse engineer, decompile, or disassemble the App.
  • Attempt to gain unauthorized access to any part of the App or its related systems.
  • Use the App to process transactions for illegal goods or services.
  • Distribute, license, or sell the App to third parties.

7. Intellectual Property

The App, including its design, code, features, and branding, is the intellectual property of DukaSale and is protected by applicable copyright and trademark laws. You are granted a limited, non-exclusive, non-transferable license to use the App for your business purposes.

8. Disclaimer of Warranties

DukaSale is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that:

  • The App will be error-free or uninterrupted.
  • The App will meet all of your business requirements.
  • Any defects in the App will be corrected within a specific timeframe.

You acknowledge that no software is completely free of bugs and the App is not intended to be a substitute for professional accounting or financial advice.

9. Limitation of Liability

To the maximum extent permitted by Kenyan law, DukaSale and its developers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the App.

Our total liability for any claim arising from the use of the App shall not exceed the amount you paid for the App (which is zero, as DukaSale is free).

10. Changes to the App

We reserve the right to modify, update, or discontinue any feature of the App at any time without prior notice. We may release updates that you will need to install to continue using the App effectively.

11. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of the App after any changes constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.
